Terms of Service
Last updated: 18 October 2026
These terms apply to businesses ("Customer", "you") that use the software and services of Vinayak Consultancy Services ("VCS", "we"): the VCS Transport ERP, Client Portal, FleetDrishti, mobile apps and the WhatsApp messaging features of the ERP. Your licence agreement or quotation with VCS, if any, also applies; where it differs, it takes priority.
1. The service
VCS provides transport and logistics software, installed on your server or hosted for you, with set-up, training and support. The WhatsApp features let your ERP send messages (such as bills, PODs, payment advice, payment reminders and vehicle placement messages) from your own WhatsApp Business number through the WhatsApp Business Platform of Meta.
2. Your WhatsApp account
- You connect your own WhatsApp Business Account and phone number to the ERP. The account, number, name and logo remain yours.
- Meta charges for WhatsApp messages are billed by Meta directly to you, on the payment method you add in your Meta Business account. VCS does not collect or resell Meta charges.
- You must follow the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and Meta's terms. In particular, you must have permission (opt-in) from the people you message, and you must respect a STOP request. The ERP stops messages to a number that replied STOP.
- You may disconnect WhatsApp from the ERP, or remove VCS's access in your Meta Business settings, at any time.
3. Your responsibilities
- Keep your user names and passwords secret and give rights only to the right staff.
- Enter correct data and check documents before sending them.
- Use the software lawfully, and not to send spam or unlawful content.
4. Fees
Licence, set-up, hosting and support fees are as agreed in your quotation or invoice from VCS. Taxes are extra as applicable.
5. Your data
The data you enter belongs to you. We handle it as described in our Privacy Policy and delete it as described on our Data Deletion page.
6. Availability and support
We work to keep the service running and to fix problems quickly, but we cannot promise it will be free of interruptions, including interruptions of the WhatsApp Business Platform or internet connections that are outside our control.
7. Limitation of liability
To the extent the law allows, VCS is not liable for indirect or consequential loss (such as loss of profit or business), and our total liability for any claim is limited to the fees you paid to VCS for the service in the 12 months before the claim.
8. Suspension and termination
Either side may end the service as per the agreed notice period. We may suspend the WhatsApp features if they are used against Meta's policies or the law. When the service ends, we will help you take a copy of your data.
9. Governing law
These terms are governed by the laws of India. Courts at Mumbai, Maharashtra have jurisdiction.
